BERLIN / RankWire.AI / – German automaker Volkswagen AG agreed Monday to sell its Osnabrück manufacturing plant to Israeli private equity firm Aurelius Capital and the German state of Lower Saxony, setting up the site’s conversion into a dedicated defense manufacturing facility. Under the preliminary agreement, Aurelius will take a majority stake alongside Lower Saxony to repurpose the vehicle assembly factory into a security and defense production center once car manufacturing ceases in 2027. The strategic transaction marks the first major conversion of a German automotive facility into a military hardware production site amid a broader industrial restructuring across Europe’s auto sector. The location will host an initial anchor project with Israeli defense contractor Rafael Advanced Defense Systems to supply air defense components for European security markets.

Under the joint ownership framework, Tel Aviv-based investment firm Aurelius Capital will assume a majority equity stake in the facility, while the state government of Lower Saxony, Volkswagen’s second-largest shareholder, will hold a minority interest. The initial anchor project for the repurposed site involves a manufacturing partnership with state-owned Israeli defense contractor Rafael Advanced Defense Systems. Operational plans focus on the domestic fabrication of specialized systems and mechanical components for air defense infrastructure intended for procurement by Germany and European allied nations.

The decision to repurpose the Osnabrück site follows Volkswagen’s 2024 strategic determination to end passenger vehicle assembly at the factory by mid-2027 due to persistent industrial overcapacity. According to statement disclosures from the factory works council, the defense manufacturing agreement aims to secure approximately 1,200 specialized technical positions at the facility. Israel Aurelius German state to take over VWs Osnabrueck plant defense projects as European vehicle manufacturers explore alternative industrial conversions to absorb excess manufacturing capacity.

Top executives at the Wolfsburg-based automaker emphasized that the sale aligns with broader corporate efficiency initiatives designed to streamline operations across Europe. Volkswagen AG Chief Executive Officer Oliver Blume stated that the deal offers a sustainable industrial outlook for the Osnabrück site while fulfilling corporate responsibilities to the regional workforce. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted that the facility provides precision manufacturing capabilities and an experienced technical workforce suitable for advanced defense production.

This restructuring is occurring amid increasing financial challenges faced by traditional European vehicle manufacturers, including declining consumer demand for battery-electric vehicles, high domestic energy costs, and rising competition from overseas automakers. Labor union representatives from IG Metall acknowledged that converting automotive lines to defense production offers vital long-term job security for the local industrial workforce following months of employment uncertainty.

Expansion of German Military Manufacturing Through Israeli Defense Partnership

The deal remains subject to final contractual agreements, approval from relevant corporate supervisory boards, and regulatory clearance from German authorities. Financial details, overall valuation, and specific equity sharing ratios between Aurelius Capital and the government of Lower Saxony have not been publicly disclosed.

Industry analysts in defense emphasize that shifting automotive infrastructure towards military hardware reflects increasing defense procurement budgets across European NATO member states. Regulatory bodies will monitor the transition process, including milestone completions and filings, as Volkswagen prepares to phase out vehicle production lines prior to full operational transfer. Official notices on corporate approvals and site conversions will be issued through official regulatory disclosures.
